Membership Agreement

1.1
|
"Activation Date" means the date of your first meeting with another Member.
"Active Membership" means the period of time when you are a Member and not "On Hold"
"Agreement" means this Membership agreement.
"Annual Membership Fee" means the annual fee payable by the Member of the amount stated on this agreement.
"Contract" means a contract between Onlylunch and the Member, incorporating this Membership agreement.
"Introduction" means a meeting (e.g. lunch, dinner, or drink) arranged by Onlylunch between two members.
"Member" means the person named overleaf to whom Onlylunch is to provide the service in accordance with this Membership agreement.
"On Hold" means a period when Member has informed Onlylunch that they are not available for Introductions.
"Onlylunch" means Onlylunch Ltd.
"Profile" means written details (computer and hardcopy) of a Member used internally by Onlylunch for matching purposes.
"Service" means the provision by "Onlylunch" of facilities consistent with an introduction agency.
"Start Date" means the date when this contract is signed.
"Subscription" means the "one off" joining fee for Onlylunch.

1.2

This Membership agreement (as amended from time to time) shall override and prevail over any submitted by the Member.

2. |
Application
|
|
2.1
|
Onlylunch will carry out an ID check on all Members
|
|
2.2
|
Onlylunch has the absolute discretion to accept or reject any Membership and reserves the right to refuse Membership without prior notice.
|
|
2.3
|
2.3 If Onlylunch rejects the application Onlylunch shall have no further liability to the applicant.
|
|
2.4
|
Onlylunch shall have no obligation to provide the service to a Member until the Application has been accepted and fees paid in full.
|
|
3. |
The Service
|
|
3.1
|
Onlylunch agrees that the Member will have a minimum number of Introductions, as referred to in their membership agreement, providing the Member requests them and is available. It is the Member’s responsibility to inform Onlylunch when they want introductions. Should this minimum not be achieved during the normal span of the Member's active Membership then Membership will be extended until this minimum is achieved providing the Member informs Onlylunch that they have not received their minimum number of Introductions before the end of their Membership and that they want more Introductions arranged.

3.2
|
Onlylunch will use its best endeavours to match a Member’s requirements with those of potentially compatible partners and will endeavour to act with professionalism and discretion at all times. However, Onlylunch is unable to guarantee the rate at which Introductions will be supplied and is under no obligation to ensure that prospective partners will exactly match all the personal requirements stated in the Member’s interview.

3.3
|
If applicable, members are entitled to Active Membership time, which begins on the date of their first meeting – their "Activation Date". However, Membership starts and the obligations of this contract become binding when this contract is signed – the "Start Date". Between Start Date and Activation Date Onlylunch staff do considerable work on behalf of the Member – composing profiles, preparing files and pre-selecting potential matches. During Active Membership the Member may temporarily withdraw from the register of Active Members by giving notice in writing - thus placing their Membership "On Hold". Members are entitled to a maximum cumulative period of "On Hold Time" as referred to in their membership agreement. Further time off the Active Register uses up the Member's Active Membership time.

3.4
|
Although all Members are interviewed and ID checked, Onlylunch is not liable for the behaviour of any of its Members.
|
|
3.5
|
Organising selective personal Introductions is a time consuming, labour intensive, skilled and unpredictable business – Onlylunch needs to be given the time to deliver what we promise. No refund will be payable except where Onlylunch has failed to provide the service indicated in this Contract and unless Active Membership has been running for 12 months or longer if extended by Only Lunch (see clause 3.1).

3.6
|
Onlylunch reserves the right to head hunt potential matches from outside the agency.
|
|
4. |
The Member’s Obligations
|
|
4.1
|
The Member warrants that:
- they are sound in mind and body, unattached and free to form a relationship.
- they do not have a criminal record and have never used prohibited substances.
- the information given at the interview is true and accurate in all respects.
|
|
4.2
|
The Member shall notify in advance, the restaurant or Onlylunch in the event of being unable to attend an Introduction Meeting. Onlylunch reserves the right to:
- count cancelled Introduction Meetings towards the guaranteed minimum number of Introductions for the Member that has cancelled.
- cancel the Membership without refund of any Member that does not attend a meeting without giving notice (i.e. 'Stands up' another Member).

4.3
|
The Member shall notify Onlylunch of any event which occurs and which materially affect the contents of the Member’s Profile.
|
|
4.4
|
Onlylunch reserves the right to terminate this agreement without notice and without refund of fees if:
- it transpires that any information supplied by the Member is untrue, inaccurate or in any way misleading.
- the behaviour of the Member is not of the high standard which it’s Members expect or if the Member commits any breach of these conditions.

5. |
General
|
|
5.1
|
This Agreement contains the entire agreement between the parties regarding the subject matter hereof.
|
|
5.2
|
All other terms, conditions, representations and warranties whether express or implied (by statute or otherwise) relating to the quality or fitness for the purpose of the Service or imposing any liability on Onlylunch are hereby excluded to the fullest extent permitted by the law.
|
|
5.3
|
Any failure by Onlylunch to exercise or enforce any rights conferred on it under this Membership Agreement shall not be deemed to be a waiver of such right or prevent its exercise at any time.
|
|
5.4
|
Any notice to be served shall be in writing and sent by first class post and shall be deemed served on the second working day after posting.
|
|
5.5
|
Onlylunch shall be entitled to carry out its obligations under this agreement through agents or subcontractors at its absolute discretion.
|
|
5.6
|
No variation to this Membership Agreement shall be valid unless signed by a duly authorised representative of Onlylunch.
|
|
6. |
Data Protection
|
|
|
I give permission for Only Lunch to hold my personal details on file in accordance with the provisions of the Data Protection Act 1998 and consent for Only Lunch to pass on details of phone number and/or email address only, consistent with match-making. Written consent by the member will be required before any other details are passed to any other persons. We may pass on your contact details to other partner agencies to assist with the provision of the service, or if the business is sold or transferred. Data protection number: Z6958520

7. |
Price Draws
|
|
|
The Only Lunch prize draw is free to enter and no purchase is necessary. Entry is limited, one entry per person. Entry to the draw is via the contact submission form, email to info@onlylunch.co.uk, by mail or in person to the Only Lunch office. The monthly free prize draw starts on the first day of every month and is drawn on the last day. Eg. Start date 1st September 2007 and closing date 30th September 2007.
The prize is a week day meal for two at one of our selected London restaurants to the value of fifty pounds. No cash alternative is available. Entry is limited to UK residents only.
The minimum age of entrants is 18 years old. Employees and their immediate families of the promoter, its agents or anyone professionally connected with the promotion are not able to enter. The judging will take place by an independent judge on the last day of each month. The winner will be notified by phone, email or letter within 48 hours. The winner’s details will only be available upon written request to the Only Lunch office. The promoter is Only Lunch, 46 Manchester Street, London. W1U 7LS.
Only Lunch will not be using the winners details or information for promotional or publicity purposes. The promoter does not take any responsibility for any entries lost, delayed or damaged in transit.
